Terms of service.
These Terms govern access to and use of the CediHub operator console and supporting APIs (together, the Service) by a financial institution (the Customer). A signed Order Form between CediHub and the Customer always prevails over these Terms where they conflict.
1. The service
CediHub grants the Customer a non-exclusive, non-transferable right to access the Service for the Customer's internal banking operations during the term of the Order Form. The Customer is responsible for the conduct of its own staff and end-customers on the platform.
2. Fees
Subscription fees are stated in the Order Form, in Ghana cedis, exclusive of VAT. Invoices are issued monthly in advance and are due 14 days from invoice date. Overdue amounts accrue interest at the Bank of Ghana policy rate plus 4% per annum.
3. Customer data
The Customer retains all rights in the data it submits to the Service. CediHub processes that data only as instructed by the Customer and as described in the Privacy Policy. CediHub does not sell, license or mine Customer data for any third-party purpose.
4. Security & availability
CediHub maintains the security measures described in the Security Statement. The Service is targeted at 99.9% monthly uptime on Growth and Network tiers, with credit terms set out in the Order Form. Scheduled maintenance is announced at least 48 hours in advance.
5. Acceptable use
- No use that violates Ghanaian law, including AML/CFT regulations.
- No attempt to reverse-engineer, probe or stress-test the Service without prior written agreement.
- No sharing of operator credentials between individuals.
- No use of the Service to provide a competing platform to a third party.
6. Intellectual property
The Service, including all source code, designs and documentation, remains the exclusive property of CediHub. The Customer's name and logo may be used by CediHub solely to identify the Customer as a user of the Service, unless the Customer opts out in writing.
7. Confidentiality
Each party agrees to protect the other's confidential information using the same care it uses for its own (and not less than reasonable care). Confidentiality survives termination for three years.
8. Warranties & liability
CediHub warrants that the Service will perform materially as described in its documentation. Except as expressly set out, the Service is provided “as is”. Each party's aggregate liability under this agreement is capped at the fees paid by the Customer in the 12 months preceding the claim. Neither party is liable for indirect, consequential or punitive damages. Nothing in this clause limits liability that cannot be limited by law (fraud, wilful misconduct, death or personal injury).
9. Term & termination
The Order Form sets the initial term. Either party may terminate for material breach not cured within 30 days of written notice. On termination, CediHub returns or destroys Customer data as set out in the Privacy Policy.
10. Governing law
These Terms are governed by the laws of the Republic of Ghana. The High Court of Accra has exclusive jurisdiction over any dispute. Parties will first attempt resolution by good-faith negotiation between named executives for 30 days.
